Investing in Italian Real Estate: A Guide for Indian Buyers

Investing in Italian real estate - guide for Indian buyersItaly remains one of the most attractive destinations in Europe for real estate investment. With its rich history, culture, and exceptional quality of life, Italy offers a range of opportunities for investors looking to diversify their portfolios. For investors, Italy’s property market offers more than just a return – it’s a chance to enjoy a great lifestyle and lasting value. However, for Indian citizens, purchasing property in Italy represents a challenge due to the lack of a reciprocity agreement between Italy and India. Despite this, it’s still possible to invest in Italian real estate through the formation of an Italian company, a solution that provides a clear and effective legal pathway for investors from India.

Indian nationals, in general, are not allowed to purchase property in Italy because India does not have a real estate reciprocity agreement with Italy. According to Italian law, foreign nationals can only buy property in Italy if their home country provides the same right to Italian citizens. However, there is a legal solution: Indian investors can form an Italian company—typically a Limited Liability Company or LLC (Società a Responsabilità Limitata or S.r.l.)—which will allow the company to hold property on behalf of the shareholders. This structure is widely used by non-EU investors, as it effectively circumvents the restrictions on direct property ownership.

Setting up a Business in Italy

The process of incorporating an SRL in Italy is relatively straightforward, though it requires compliance with Italian corporate laws. The company must have a minimum share capital of €10,000 for a standard SRL, although it’s also possible to set up a company with a lower capital—starting as low as €1—due to a 2013 reform. While opting for a minimum capital requirement may seem attractive, it’s important to understand that companies with low capital can face challenges in accessing bank financing or establishing financial credibility.

The company formation process must be completed by drawing up a public deed (atto pubblico) before an Italian notary (notaio). This deed will outline important details such as the company’s name, legal address, business purpose, share capital, and management structure. Additionally, the notary will also prepare the company’s bylaws (statuto sociale), which govern how the company operates internally, covering aspects such as shareholder rights, management procedures, and voting rights. After the company is established, it must be registered with the Italian Business Register (Registro delle Imprese) and obtain a tax identification number (codice fiscale). Alongside these steps, the company will need to fulfill various tax and legal obligations, including VAT registration, social security filings, and tax compliance with the Revenue Agency (Agenzia delle Entrate). It is essential to work with an accountant (commercialista) to navigate these requirements, as they provide critical assistance in ensuring compliance with Italian tax laws and managing the ongoing financial obligations of the company. This includes handling the company’s accounting, tax filings, and annual financial statements, helping to avoid any legal or financial complications.

As you have likely realized, this process can be complex from a bureaucratic and legal standpoint. For this reason, establishing a company in Italy is generally advisable only when planning a significant investment. This is particularly relevant for international investors – including Indian nationals – who are considering the purchase of luxury real estate. While the legal and bureaucratic procedures involved in setting up and managing an Italian company can be complex and relatively expensive, they become justified when the scale of investment demands a structured, long-term approach. In these cases, conducting business through an Italian legal entity can offer multiple advantages, including streamlined tax management, enhanced legal protections, and credibility with local institutions.  This is especially important for Indian investors who are not simply looking for a vacation home, but are aiming to enter the Italian real estate market with a view to generating income or diversifying their international investment portfolio.
